Hamilton Ross Group has agreed Heads of Terms to acquire Henderson Grass Machinery Ltd, with the transaction expected to complete on 30 September 2026, subject to due diligence and final agreements.
Henderson Grass Machinery is a long-established family-run business based in Haddington. With the current owners, Alasdair and George Henderson, planning their retirement, the proposed acquisition provides a natural succession plan for the business while ensuring continuity for its employees, customers and suppliers.
The proposed acquisition aligns with Hamilton Ross Group’s long-term strategy of strengthening its regional dealer network and enhancing customer support capabilities across Scotland. It will further expand the Group’s groundcare operations, reinforcing its representation of leading brands including Kubota, Baroness and Honda.
Upon completion of the transaction, Henderson Grass Machinery will operate as part of Hamilton Ross Group. The Group also plans to consolidate its existing Macmerry operations into the larger Haddington site, creating a stronger regional hub and enhancing service coverage across the Lothians.
Importantly, Henderson Grass Machinery’s established local presence will be maintained and customers will continue to receive support from the same experienced team they know and trust. By joining Hamilton Ross Group, customers will also benefit from access to expanded resources, technical expertise, parts availability and long-term investment.
